API Terms Of Use

1. Recitals


Vibrant Wellness, LLC and its affiliates Vibrant America, LLC and Vibrant Genomics, LLC ("Vibrant", "we",
"us", and "our") provides a platform, mobile applications, and related online services (the "Platform") to help
health care providers (each a "Provider") order lab testing for their patients, personalize patient reports, aid
patients in making dietary decisions, and create patient dietary plans (our "Services"). "You" or "your" refers
to Platform users (whether you are a healthcare provider, subscriber or other user), viewers or visitors of any
portion of the Services.

These API Terms of Use (“API Terms”) govern the supplemental API Services provided through the Vibrant
Wellness Platform. When you, a Provider user creates an API Access Token, you are agreeing to these API
Terms. The Services under these API Terms extend to the use of the Application Programing Interface (API)
provided via the Platform, otherwise known as the Vibrant Wellness Portal API (the “API”).

(https://www.vibrant-wellness.com/privacy-policy). THE TERMS OF USE AND PRIVACY POLICY ARE
INCORPORATED INTO, AND CONSIDERED A PART OF, THIS AGREEMENT. EXCEPT AS EXPRESSLY AMENDED OR
MODIFIED HEREIN, ALL OTHER TERMS, COVENANTS, AND CONDITIONS OF THE TERMS OF USE AND PRIVACY
POLICY SHALL REMAIN UNCHANGED AND IN FULL FORCE AND EFFECT.

YOU EXPRESSLY AGREE THAT USE OF THE SERVICES IS AT YOUR SOLE RISK. ALL SERVICES ARE PROVIDED ON
AN "AS IS" AND "AS AVAILABLE" BASIS.

 

 

2. License


Vibrant grants you a non-transferable, non-exclusive, non-sublicensable license to order Vibrant tests and
perform related patient care processes using the API.

 

 

3. Usage Restrictions


The TERMS OF USE policy outlines usage restrictions in detail. Please read the document carefully.

 

 

4. Limits


We may limit the number of API calls for a given period. Calling the Orders API is limited to 30 per minute to
protect you and the environment. Vibrant retains the right to update this policy, without notice, to reflect
new rate limits as deemed necessary. If the rate limit is exceeded, a 429 error code is returned. You may
configure how that error message is displayed in your environment.

 

 

5. HIPAA Compliance


You acknowledge that use of Vibrant APIs can be compliant with HIPAA, but only with proper configuration
and implementation on your part. Vibrant will not be liable for configurations or implementations that use
our APIs which result in a HIPAA violation, including but not limited to, unauthorized disclosures, insufficient
technical security safeguards, and any other non-compliance. By using the API, you confirm you have the legal
and technical knowledge to ensure your implementation meets all applicable HIPAA requirements.

 

 

6. Security


You are solely responsible for maintaining the security of your Access Token and the environment in which it
is used. Vibrant is not liable for coding errors, misconfigurations, theft, technological vulnerabilities and
exploits, or other unforeseen circumstances relating to the secure use of the API or integrity of the Access
Token itself.

The Access Token is like a username and password. Anyone with knowledge of the Access Token may use the
API as if they were you. Follow best practices for storing and rotating Access Tokens.

You and Vibrant each have the ability to revoke an Access Token that has been compromised. It is your
responsibility to revoke the Access Token if you suspect it is being misused.

Note: Revoking breaks any integration still using that client. Roll out the replacement before you revoke.

 

 

7. Access and Revocation


At any time, Vibrant may revoke access to the API Services as a whole, or may revoke an Access Token for any
reason.

 

 

8. Term and Termination


The term of these API Terms shall co-terminate with the TERMS OF USE
